Search Engine Optimisation (SEO) Service Terms & Conditions

A. Meanings & Abbreviations

In this Agreement, the following words have the corresponding meanings:

Agreement / Terms and Conditions means your agreement with us as contained in this document (as may be modified from time to time).Step Ahead Digital will provide the Client, with Search Engine Optimisation Services (hereinafter refer red to as “SEO”) as described in this document

SEO, or Search Engine Optimisation, is the practice of enhancing the quantity and quality of traffic to a website through organic search engine results. It involves optimising various aspects of a website, including content, structure, and HTML code, to improve its visibility on search engine results pages (SERPs) for relevant queries. The goal of Google SEO is to increase a website’s ranking in Google search engine, ultimately driving more targeted traffic and improving online visibility.

I, You, Your / Account Holder means the person or company named as the ‘Client’ in this Agreement and (where applicable) the website or business that you have authority over.

We / Step Ahead Digital means Step Ahead Digital. Step Ahead Digital is owned and operated by One Web Solutions Ltd and Step Ahead Digital (“Step Ahead Digital”) is a trading name of One Web Solutions Ltd.

        B. Prices & Quotations

  1. Unless otherwise agreed by Step Ahead Digital, a price quotation for SEO services is open for acceptance for 30 days from the date of quotation sent. Acceptance of the price quotation must be in writing and signed by the Client (at which time it is binding).
  2. Acceptance of the price quotation constitutes acceptance of the terms and conditions and no variation, whether contained in the acceptance or otherwise, applies unless agreed and accepted by Step Ahead Digital in writing.

 

C. Fees & Payment Terms

  1. The Client understands that there are service fees involved in undertaking this SEO service as per the conditions set below:
    • Monthly SEO management fees paid to Step Ahead Digital in advance on monthly basis as per the amount confirmed in the proposal.
    • All fees are non-refundable.
    • All fees, services, documents, recommendations, and reports are confidential.
  2. The Client must, as agreed with Step Ahead Digital, pay the Fees for the provision of the Services monthly in advance with the first payment being due on the Start Date and thereafter on the Payment Date.
  3. Invoices for the payment of the Fees will be issued to the Client on or before the Payment Date.
  4. If the Client has provided credit/debit details to Step Ahead Digital, the Client consents and agrees to Step Ahead Digital using those details to auto charge the Client’s debit card or credit card (as applicable) in payment of the account management Fees.

D. Refund and Cancellation or Termination

  1. Step Ahead Digital reserves the right to notset-up your SEO account. At which time you will receive a full refund of all Set-Up Fees that you have paid. Please note that in all cases where we have already set-up your account there can be NO REFUND of the Set-Up Fees and/or monthly management fees.
  2. Step Ahead Digital reserves the right to stop managing your SEO account and terminate this agreement immediately at any time by writing (or email) notice to you. Step Ahead Digital will not be liable to the Client for any loss or damage resulting directly or indirectly from such actions.
  3. If Client wishes to suspend or cancel this SEO management contract at any time then Client will inform by phone or by email 30 days in advance before the termination date. Step Ahead Digital SEO management fee will stop at the end of the next full billing cycle from the date of written notification.
  4. Upon cancelling Step Ahead Digital SEO service, all amounts owing to Step Ahead Digital will need to be paid in full; any outstanding amounts will be due within 7 business days of cancellation.
  5. Step Ahead Digital reserves the right to engage a debt collector at your expense if there are any unpaid invoices overdue by 30 days.

E. Non Payments & Late Payments

  1. Right to Stop Service & Remove Resources In The Event of Late Payment or Non Payment.
    (a) In the event Client fails to make any of the payments set forth and agreed by the Client and Step Ahead Digital in the contract or proposal within 14 (fourteen) days of the day the payment is due and invoice is generated, Step Ahead Digital has the right to remove or stop SEO service until payment is paid in full, plus accrued late charges of 2% per month.(b) In the event Client fails to make any of the payments set forth and agreed by the Client and Step Ahead Digital in the contract or proposal within 14 (fourteen) days of the day the payment is due and invoice is generated, Step Ahead Digital has the right, but is not obligated, to pursue any or all of the following remedies:
    (1) Terminate the Agreement.
    (2) Remove equipment, software, services or resources owned by Step Ahead Digital, whether leased to client by Step Ahead Digital or not and any Step Ahead Digital personnel or staff from client location(s).
    (3) Bring legal action.

 

F. General Google SEO Service Terms & Conditions

This is not a fixed-term contract with Step Ahead Digital, however whilst Step Ahead Digital is providing SEO service, the following terms and conditions apply:

  1. By entering this Agreement with Step Ahead Digital, you give us permission to access your website backend and Google Analytics account for the purposes of optimisation and management of your SEO Service.
  2. Step Ahead Digital has no control over the policies of search engines with respect to the type of websites and/or content that they accept now or in the future. The Client’s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory.
  3. Whilst every effort will be made to achieve the best positions in the major search engines, however, due to the competitiveness of keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, Step Ahead Digital do not guarantee or warrant that Client’s URLs will achieve #1 positions or consistent top 10 positions for any particular keyword, phrase, or search term.
  4. Occasionally, search engines will drop listings for no apparent or predictable reason. Often, the listing will reappear without any additional SEO. Should a listing be dropped during the SEO campaign and does not reappear within 30 days of campaign completion, Step Ahead Digital will re-optimise the website/page based on the current policies of the search engine in question.
  5. Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited listing services (e.g., paid directories), the Client is responsible for all payment for inclusion or expedited service fees. Step Ahead Digital can offer a list of expedited listing services upon request.
  6. Linking to “bad neighborhoods” or getting links from “link farms” can seriously damage all SEO efforts. Step Ahead Digital does not assume liability for the Client’s choice to link to or obtain a link from any particular website without prior consultation.
  7. Step Ahead Digital is not responsible for changes made to the website by other parties that adversely affect the search engine rankings of the Client’s website.
  8. Step Ahead Digital is providing an internet marketing service for a competitive price. Step Ahead Digital is not insuring or underwriting your chosen business model. You acknowledge that internet services are inherently subject to technical failures and disruptions from time to time. To the maximum extent permitted by law.
  9. Step Ahead Digital will not be liable in any way for fines, penalties, taxes, exemplary/aggravated/punitive damages, liquidated damages, indirect/consequential losses (including loss of contract, loss of production, loss of revenue, loss of profit, lost opportunity costs, and/or other loss not arising naturally and directly according to the usual course of things) or legal costs and expenses (except reasonable legal costs awarded by a court) arising from the subject matter of this Agreement; and
    9 (a) The maximum liability of Step Ahead Digital to you is the lesser of:
    9 (b) The sum of Set-Up Fees and Management Fees you have paid to Step Ahead Digital; or
    9 (c) The cost of re-supplying the online advertising services; or
    9 (d) The cost of rectifying the online advertising problem which has caused your loss.
  10. These Terms and Conditions are governed by the laws of United Kingdom (UK) and Step Ahead Digital and the Client each irrevocably submit to the exclusive jurisdiction of the courts of United Kingdom (UK).
  11. These Terms and Conditions can be modified at any time by Step Ahead Digital. You agree to continue to be bound by these Terms and Conditions as modified. We will publish the revised Terms and Conditions on our website – we will not separately notify you of these changes.
  12. If the whole or any part of a provision of these Terms and Conditions are void, unenforceable or illegal in a jurisdiction then such part shall be severed for that jurisdiction. The remainder of the Terms and Conditions have full force and effect and the validity or enforceability of that provision in any other jurisdiction is not affected. This clause has no effect if the severance alters the basic nature of the Terms and Conditions or is contrary to public policy.
  13. You warrant to Step Ahead Digital that you will use the services provided by Step Ahead Digital under this Agreement for business purposes (and not predominantly personal, domestic or household use).
  14. You are solely responsible for maintaining the secrecy of your username and password in relation to the Account/Site, and for restricting access to your computer. You are fully responsible for the use of the Account/site under your username and password. In case of breach of security, you must notify Step Ahead Digital immediately of any unauthorised use of your username or password.
  15. Step Ahead Digital reserves the right to deliver marketing, advertising and other promotional materials to all of its clients, as well as any past clients. Step Ahead Digital will endeavour to cease any marketing/advertising communications in a timely manner in the event a client, or past client, opts-out of future promotional materials.
